Because this involves other people's personal information (your clients) and recurring payments, it's worth a lawyer's once-over before it's the live version — not because anything here is unusual, just because that's the standard, sensible step for any business handling both.

1. Who this agreement is with

These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "User") and [YOUR LEGAL BUSINESS NAME], doing business as Write Because ("Write Because," "we," "us," or "our"), governing your access to and use of the Write Because website, application, and related services (collectively, the "Service").

By creating an account, purchasing credits, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

Write Because lets you send physical greeting cards to your clients and contacts. Each card is written by hand, using a robotic pen holding real ink, based on the message and recipient details you provide, and is mailed to the recipient by our fulfillment partner. Sending a card costs one credit, purchased in advance through the Service.

Write Because is intended for business and professional use — currently built around real estate and other client-relationship-driven professions — not for personal, non-commercial correspondence.

3. Eligibility and your account

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • The information you provide when creating an account must be accurate and kept up to date.
  • You are responsible for safeguarding your account credentials and for all activity that happens under your account. Tell us right away if you believe your account has been accessed without authorization.
  • One account is intended for one individual or organization. If your account is part of a team or organization, the organization's administrator is responsible for the conduct of everyone with access.

4. Credits and payment

  • Cards are sent using credits, purchased in packs through our payment processor, Stripe. We do not see or store your full payment card details — Stripe handles that directly.
  • One credit is consumed when a card is successfully submitted for writing and mailing.
  • Credits are non-refundable once used to send a card, except where a card fails to be produced or mailed due to a fault on our side or our fulfillment partner's side, in which case the credit will be returned to your balance or refunded at our discretion.
  • Purchased credits do not expire unless stated otherwise at the time of purchase.
  • We may change credit pricing for future purchases at any time. Changes do not affect credits you have already bought.
  • If a payment cannot be processed (a declined card, for example), we may suspend the related purchase or your ability to buy additional credits until it is resolved.

5. Your content, and your clients' information

You will provide us with contact information about your own clients and contacts — names, mailing addresses, and sometimes phone numbers, email addresses, important dates, and notes — so that we can send cards on your behalf. In doing so, you confirm that:

  • You have the right to share this information with us and to have us use it for the purpose of producing and mailing cards, consistent with any obligations you have to your own clients (including any applicable privacy laws or professional conduct rules that apply to your business).
  • The information you provide is accurate to the best of your knowledge.
  • You will not upload contact information you obtained unlawfully, or use the Service to contact people who have asked not to be contacted by you.

You retain ownership of your client data and the messages you write. You grant us the limited right to use that information solely to operate the Service — producing, writing, and mailing your cards, and providing you with the account features described in Section 2. We do not sell your client data, and we do not use it to contact your clients on our own behalf or for any purpose you have not asked us to perform. See our Privacy Policy for more detail on how this information is handled and who it is shared with (including our fulfillment partner, who physically writes and mails each card).

6. Acceptable use

You agree not to use the Service to:

  • Send content that is unlawful, threatening, harassing, defamatory, obscene, or fraudulent.
  • Impersonate any person or entity, or misrepresent your relationship with a recipient.
  • Send unsolicited mail to people who have not agreed to be contacted by you, or who have asked not to be.
  • Upload or transmit any material that infringes another party's intellectual property or privacy rights.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Service, its infrastructure, or other users' accounts or data.

We reserve the right to review, decline to produce, or remove any card content that we believe violates these Terms, and to suspend or terminate accounts that do so, including without a refund of remaining credits where the violation involves fraud or illegal activity.

7. Fulfillment and delivery

  • Cards are physically written and mailed by a third-party fulfillment partner on our behalf. Turnaround times and delivery estimates shown in the Service are estimates, not guarantees, and actual delivery depends on postal service performance outside our control.
  • We are not responsible for cards that are delayed, lost, or misdelivered by the postal carrier once mailed, though we will make reasonable efforts to help resolve delivery problems reported to us.
  • It is your responsibility to provide complete and accurate mailing addresses. We are not responsible for cards that fail to arrive because of an incomplete or incorrect address you provided.

8. Intellectual property

  • The Service, including its software, design, card templates, and branding, is owned by us or our licensors and is protected by intellectual property laws. Nothing in these Terms grants you rights to our intellectual property beyond what is necessary to use the Service as intended.
  • The messages, signatures, and any custom content you write or upload remain yours. By using a card design or template we provide, you are granted a license to use it for cards sent through the Service; you may not extract, resell, or redistribute our designs or templates outside the Service.

9. Termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate your access to the Service if you violate these Terms, if we reasonably suspect fraudulent or illegal activity, or if required by law.
  • Upon termination, any remaining unused credits are handled according to our refund practices in effect at the time, except where termination is due to a violation of these Terms.

10. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any card will produce a particular business outcome for you.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose.

Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party (including a recipient of one of your cards).

13. Governing law and disputes

These Terms are governed by the laws of [STATE / JURISDICTION TO BE SET], without regard to its conflict of law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in [COUNTY / STATE TO BE SET], and you consent to that jurisdiction.
